Terms of Service

Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "your") and TaluxIQ Pty Ltd ("TaluxIQ", "we", "our", or "us") governing your access to and use of the TaluxIQ platform, including the RegoIQ import registration automation service (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

Description of Service

TaluxIQ provides an import registration automation platform that processes inbound freight emails, extracts shipment data from attached documents, and registers jobs in your transport management system (TMS). The Service is designed for use by licensed freight forwarding companies and customs brokers.

Account Registration

To use the Service, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorised use of your account.

Your Responsibilities

You are responsible for ensuring that your use of the Service complies with all applicable laws and regulations. You retain full responsibility for the accuracy of data registered in your TMS and for reviewing jobs on the RegoIQ dashboard before approving them. You must not use the Service for any unlawful purpose or in violation of these Terms.

Data Ownership

You retain all rights to your data, including freight emails, attachments, and extracted shipment information. We do not claim ownership of your data. We process your data solely for the purpose of providing the Service to you, as described in our Privacy Policy. Upon termination, you may request export or deletion of your data.

Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform scheduled maintenance, and the Service may be temporarily unavailable due to factors beyond our reasonable control. We will make reasonable efforts to provide advance notice of planned downtime.

Fees and Payment

Fees for the Service are set out in your subscription agreement or order form. All fees are quoted in Australian dollars unless otherwise stated. Fees are non-refundable except as expressly stated in these Terms or required by law. We reserve the right to modify pricing with reasonable notice.

Intellectual Property

The Service, including all software, algorithms, user interfaces, documentation, and branding, is owned by TaluxIQ and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein. You must not copy, modify, reverse engineer, or create derivative works based on the Service.

Limitation of Liability

To the maximum extent permitted by law, TaluxIQ shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with your use of the Service. Our total liability for any claim arising from these Terms shall not exceed the fees paid by you in the twelve months preceding the claim.

Disclaimer

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. While we strive for accuracy in data extraction and job registration, you acknowledge that automated processing may occasionally produce errors and that you are responsible for reviewing and approving jobs before they are committed to your TMS.

Termination

Either party may terminate these Terms by providing written notice in accordance with the subscription agreement. We may suspend or terminate your access to the Service immediately if you breach these Terms or if we are required to do so by law. Upon termination, your right to use the Service will cease and we will handle your data in accordance with our Privacy Policy.

Governing Law

These Terms are governed by the laws of the State of New South Wales, Australia, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of New South Wales, Australia.

Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on our website. Your continued use of the Service after such changes constitutes your acceptance of the updated Terms.
